The Social Brain provides digital design, web development, app development, and related technical services. The specific scope, timeline, and deliverables for any project will be outlined in a separate, mutually agreed-upon Statement of Work (SOW) or project proposal.
3. Client Responsibilities
To ensure the timely and successful delivery of our services, you agree to:
- Provide all necessary assets, content, and feedback in a timely manner.
- Ensure you have the legal right to use any materials you provide to us.
- Designate a primary point of contact with decision-making authority.
4. Intellectual Property
Upon full payment for our services, all final deliverables created specifically for your project will become your property, unless otherwise specified in our contract. We retain the right to display the completed work in our portfolio and marketing materials. We also retain ownership of any pre-existing code, libraries, or frameworks used in the project.
5. Payment Terms
Payment schedules, including deposits and milestone payments, will be detailed in your project proposal. Work will commence upon receipt of the agreed deposit. All invoices are due upon receipt unless otherwise stated. We reserve the right to suspend work or withhold deliverables for overdue accounts.
6. Warranties and Liability
We warrant that our services will be performed with professional care. However, we do not guarantee that software will be entirely error-free or uninterrupted.
To the maximum extent permitted by law, The Social Brain shall not be liable for any indirect, incidental, or consequential damages arising from the use of our deliverables or website. Our total liability shall not exceed the amount paid by you for the specific services in question.
7. Termination
Either party may terminate a project with written notice if the other party breaches a material term of the agreement. Upon termination, you will be responsible for payment for all work completed up to the date of cancellation. Deposits are generally non-refundable.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Nashik, Maharashtra.
